Mergers & Acquisitions
Western Financial Corporation (“Western”) has a specialization in working with community-based financial institutions and has represented numerous companies on both buy-side and sell-side M&A transactions throughout its history. The deals have included whole bank and branch only acquisitions and sales. We believe that having served on a number of community bank boards provides us with a unique understanding of the challenges that management teams and directors face when contemplating a transaction.
As part of our investment banking services we also provide fairness opinions for both buyers and sellers in M&A transactions as well as for companies issuing securities in secondary offerings.
Western conducts capital offerings of equity and debt for community banks and thrifts, as well as for various real estate transactions, and is adept at assisting each company in determining the best methods for successfully meeting its financing requirements. We assist companies in offering common and preferred equity and various debt securities.
Trading & Shareholder Services
Since the beginning, Western has assisted shareholders in the purchase and sale of the securities of community-based financial institutions often helping to provide liquidity to buyers and sellers seeking to execute transactions in relatively illiquid markets.
Western also provides a cash-less stock option exercise program. The program allows shareholders the ability to exercise their stock options in an efficient, timely manner and execute their transactions at the best prevailing market prices available without having to commit their own capital.
